Terms of Service

These Terms of Service ("Terms") govern access to and use of RIVL (rivl.app and app.rivl.app, together the "Service"), operated by BRIDGESTAG TECHNOLOGIES PVT LTD ("RIVL," "we," "us"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer").

1. The Service

RIVL is a B2B competitive intelligence and sales enablement platform that processes Customer-provided data (such as sales call transcripts and competitor information) to surface objection-handling guidance and competitive insights.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and all activity under your account. You must notify us promptly of any unauthorized use.

3. Customer Data

Ownership. As between RIVL and Customer, Customer retains all rights, title, and interest in the data it uploads or connects to the Service ("Customer Data"), including transcripts, deal records, and derived business content.

License to RIVL. Customer grants RIVL a limited license to access, process, and analyze Customer Data solely to provide and improve the Service for that Customer.

Confidentiality. We treat Customer Data as confidential and will not disclose it outside RIVL except as described in our Privacy Policy or as authorized by Customer.

4. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law or third party's rights

• Upload data you do not have the right to share

• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service

• Use the Service to build a competing product

5. Intellectual Property

RIVL retains all rights, title, and interest in the Service itself, including its software, design, and underlying technology, excluding Customer Data. Nothing in these Terms transfers any RIVL intellectual property to Customer except the limited right to use the Service as intended.

6. Subscriptions and Fees

If your use of the Service is subject to a separate paid agreement or order form, the terms of that agreement govern fees, billing, and payment. Free or trial access may be modified or discontinued at our discretion.

7. Third-Party Services

The Service may integrate with or rely on third-party services (such as Google sign-in, cloud infrastructure, or AI processing providers). We are not responsible for the availability or performance of third-party services outside our control.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RIVL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE. RIVL'S OUTPUTS ARE INTENDED TO ASSIST, NOT REPLACE, HUMAN JUDGMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. RIVL'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO RIVL IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold RIVL harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

11. Termination

We may suspend or terminate access to the Service for any breach of these Terms. Customer may terminate its use of the Service in accordance with any separate order form or agreement, or by discontinuing use and contacting us to close the account.

12. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable notice.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles, unless otherwise agreed in a separate signed agreement with Customer.
